Aztec Project LLC does not Represents or Warrants that the elements that you selected in your Order Form would be the best possible option for you, or for your business. Should you have questions on your selections and / or on the results of your request, we advise you to consult with a legal, tax or financial professional before submitting your order form.

Aztec Project LLC processes Order Forms upon petition and payment. We will do our best effort to process your Order Forms on the same business day of its reception, but if it were not possible your Order Form will be processed on next business day.

Aztec Project LLC is going to act on your behalf with the governmental agencies or private entities that are required to satisfy your Order Form. So that, you accept that from the moment when you submit the Order Form whether through this web site, e-mail, telephone or by any other method to exchange information, you are allowing Aztec Project LLC to sign paperwork, electronically or otherwise, as an “Authorized Representative”, “Organizer”, or “Incorporator”.

By submitting your order, you are also entitling Aztec Project LLC to affix or transmit your electronic signature and/or data to documents, where applicable. You also agree to provide a duly executed copy, for any matter for which an electronic signature has been attached.

When it results necessary to properly fulfil your order, Aztec Project LLC, may request you to sign some additional forms. You agree to review such forms and return them signed accordingly. Forms in all cases are related to the specific type of Order Form that has been requested by you. e.g., IRS Forms.

While We are committed to diligently present the filings requested in your Order Form, the response time to complete the filing is related to the processing time of State that you selected, the workload in such State agency at the time of filing, the type of filing, the postal service and any other circumstances that may affect the relevant State performance such as Force Majeure or any natural hazard outside human control.

We are already considering the expedite state fee, in the state fees presented for you, for those states where it has been identified that it usually takes longer than normal to process a request. e.g. Delaware. In those States, where it is possible to request an expedite filing, you may request that we use the expedite filing option, and you agree to paid said expedited filing fee set by the State.

AZTEC PROJECT HOLDS NO LIABILITY FOR THE CONSEQUENCES THAT MAY AFFECT YOU OR YOUR BUSINESS DUE TO THE TOTAL TIME SPAN FROM SUBMITTING AN ORDER FORM TO THE TIME THE ACTUAL RESPONSE IS RECEIVED, NOR WILL WE BE RESPONSIBLE FOR ANY LATE FEES, PENALTY FEES OR THEIR EQUIVALENT.

 

About Services – Limitations on Refunds

You agree and acknowledge that any and all fees paid to the office of the Secretary of State, or any other State Agency designated to perform the business filing processing or similar activities and/or services cannot be refunded under any circumstances.

We understand that your filing is of ultimate importance to you. Nevertheless, we are subject to human, mechanical or system errors. In the event the resulted filing is not what you had ordered, or it filed incorrectly, we will make a reasonable effort to cure, amend and correct the resulted filing or, at our sole discretion, we will refund the fees you paid to us less state filing fees already paid by us to the State

Consequently, if for any reason the service you ordered was unreasonably delayed, destroyed, or misplaced prior to filing with the State agency, YOUR SOLE REMEDY IS THAT AZTEC PROJECT WILL PROVIDE TO YOU THE FULL AND COMPLETE REFUND OF ANY AND ALL FEES RECEIVED FROM YOU FOR THE ORDERED SERVICE. IN NO CASE WILL AZTEC PROJECT BE RESPONSIBLE FOR ANY CONSEQUENTIAL, INCIDENTAL OR ACTUAL DAMAGES. YOU EXPRESSLY WAIVE ANY AND ALL RIGHTS AND REMEDIES AT LAW OR EQUITY WHETHER FEDERAL, STATE, LOCAL, OR INTERNATIONAL.

 

About Filings – Basic Assumptions

Aztec Project LLC will make some assumptions on your filing unless we were instructed otherwise by you if such instruction would be possible and permitted by law, such as

1.    The Members or Directors or Shareholders or Agents are lawfully able to hold the interests or shares or seats or positions for which you have given them in your Order Form.

2.    Use the acronyms LLC and INC, as it corresponds, at the end of your requested name if you did not include it in your proposed name.

3.    Use “perpetual existence,” or the longest time allowed by corresponding law for the “Duration of Company questions”, unless you provide otherwise.

4.    Use December 31st as the end of your company’s tax year, unless you provide otherwise.

5.    Use, for S and C Corporation filings, the minimum number of shares allowed by corresponding State, and we will consider them with no face value. (A higher number of shares may imply a higher state fee)

6.    Use the potential business names you have provided that is first available with the State agency, in the order you provided them. If none of the potential names are available with the State agency, your business filing will be put on hold, and we will contact you for an additional list of potential names.

What we can’t assume and will not do or be liable for:

1.    You requesting/ordering the wrong type of entity.

2.    Your potential name being available for use in the initial filing State, but unavailable in other states.

3.    State agency questions or delays or responses requiring additional processing or answers that we cannot provide without your assistance.

When a filing request in an Order Form would need additional processing, like it is the case of foreign qualification in certain States where a certificate of good standing or certified copies must be integrated to the request, Aztec Project will make its best effort to give you advance notice, so that you can provide the necessary information or document(s) on the corresponding Order Form. If for any reason you did not include the additional request in your Order Form and you did not provide us with such document(s), Aztec Project will contact you and will hold the process until receiving further instructions from you.

 

About Information – Importance of Completeness, Truthfully and accuracy

TO PERFORM OUR SERVICES, WE RELY ON THE INFORMATION YOU PROVIDE TO US, OR INFORMATION OTHER PERSONS DELIVERED TO US ON YOUR BEHALF OR WITH YOUR AUTHORIZATION, WHETHER WE RECEIVED THOUGH THIS WEB SITE, E-MAIL, TELEPHONE OR BY ANY OTHER METHOD TO EXCHANGE INFORMATION. If you are placing an Order Form to hire a service or acquiring a product, whether such order would be made through this Web Site, Phone, e-mail, or any other way to exchange information and you are acting as an Agent (attorney, CPA, employee, consultant, etc.) or by any title acting on behalf of a person whether individual or entity, you, as well as the person you are representing, are bound to these Terms.

About International Users

International Users must comply on every time with all United States Law and Regulations and any State Law that may be applicable. If you are an International User submitting an Order Form, you must provide a valid identification. Hence, you will be required to provide us a scanned copy of the passport of all members or shareholders that are forming or incorporating and entity.

We reserve the right to deny any services to an international user that do not provide an identification. WE HOLD NO LIABILITY ON DENYING A SERVICE TO AN INTERNATIONAL USER OR RESTRICT AT ANY TIME THE ACCESS TO OUR WEB SITE, WITHOUT THE NEED OF ANY FURTHER NOTICE OR NOTIFICATION.

International Users, using this Web Site, acknowledge and consent that, all prices are in US dollars and must be paid in such currency.

International Users, using this web site, acknowledge and consent that, order forms that includes the obtainment the Federal Employee Identification Number (FEIN or EIN) for your company without providing a social security number (SSN) of some Member or Director may take two weeks or more, depending on the IRS workload and completeness and accuracy of documents we require for processing it.

 

About Delivery – Know about how you will receive your documents

All documentation will be scanned a send by electronic delivery, also known as e- delivery, unless it would be necessary to send physical documents due to the nature of the service provided.

The e-delivery is included in our process fees. Physical delivery of documents will be done through U.S. Postal Service (USPS), and it is included in our process fees.

When the User requires that physical documentation would be delivered by a courier, eg. FEDEX, UPS, or DHL; We will charge an additional processing fee besides the waybill cost. If you do not find the courier option in our Order form or Web Site, please Contact Us and we will provide the additional cost estimate. Every and all sending of documentation by courier must be paid in advance to be processed. Please keep in mind that not all delivery methods can be tracked.

International delivery

Considering that delivery services are independent services, and consequently, delivery time is not under our control. You must consider the appropriate timing to place your order form to receive your documents by the time you may need them.

 

About Registered Agent Services

You can hire the Registered Agent service with Aztec Project LLC in the 51 U.S. jurisdictions. The Registered Agent may receive different names in diverse States such as Statutory Agent or else.

If you choose Aztec Project to provide Registered Agent service in your Order Form, by default, we will act as the single point of contact for your company in the specific states where you had hired the service from us. You could also choose to receive the information directly from the Registered Agent in the relevant jurisdiction, to that purpose you must express such decision and provide us a full address and contact information. On any case, Aztec Project LLC will provide you with the specific name and address of the Registered Agent hired for your entity.

If you are hiring our Registered Agent Services but not our filing services, you will be the only responsible to provide to the person performing relevant filing for you the correct name and address of the registered Agent that we will be providing to you.

The Registered Agent’s address that we provide you, is not, and cannot be not used under any circumstances as business address for your business or entity. While the Registered Agent has the responsibility to receive and send you any government notification or legal document, it is not a mail forwarding service.

The documentation received by Registered Agent will be scanned and send you via email. Should you need the physical documentation or, by its volume the physical documentation should be send by USPS or Currier, it may cause an additional delivery charge. You will be promptly informed about any situation alike previously described to obtain your instructions.

If you place an Order Form with Aztec Project LLC, that requires the name, address, and e-mail of a Registered Agent, but you do not hire our Registered Agent Services, you must provide us the correct and complete name, address, and e-mail of your Registered Agent in the jurisdiction where the filing is going to take place. You are responsible for obtaining the consent of any Registered Agent before you deliver its information to us.

Our Registered Agent Services fees are for a year (365 days) starting on the hiring date. You will be notified about the renewal one month in advance so that you can renew or cancel the service. In no case, Registered Agent Service could be prorated for months or weeks.

The cancelation of Registered Agent Service in any jurisdiction carries out the obligation to you of:

1)    Taking the actions necessary to designate/appoint another Registered Agent in the relevant jurisdiction including the payment of any related fee.

2)    Notify Aztec Project LLC about the change of Registered Agent and provide us evidence of such process.

3)    To express your agreement and consent to allow the appointed Registered Agent to resign as the Registered Agent upon payment of any State Fee and Processing Fee.

IN CASE THAT YOUR ENTITY WOULD BE NO LONGER AN ONGOING BUSINESS FOR ANY REASON, WHETHER VOLUNTARILY OR INVOLUNTARILY, YOU MUST TAKE NECESSARY ACTIONS TO REINSTATE IT OR PROPERLY TERMINATE IT, INCLUDING THE PAYMENT OF ANY DUE AND UNPAID TAXES AND STATE FEES.

If your entity has been properly terminated, you must notify us and send us evidence so that we would cancel any renewal related to discontinued business. If your entity has not been properly terminated by the time any renewal is due, you have the obligation of paying Registered Agent Service renewal fee otherwise we reserve the right to resign as Registered Agent Appointed and invoice you any State Fees and Processing Fees related to resignation, which must be paid by you in full.

Aztec Project LLC may place at your disposition in certain filing service types, some document forms, and templates that you may use as reference, under your own responsibility and risk, to document certain activities. Aztec Project holds no responsibility on the legal accuracy, completeness, validity, state statute or enforceability of such document forms and templates.

Aztec Project at is sole discretion and with no further notice may place, withdraw, or modify those document forms, and templates.

AZTEC PROJECT LLC MAKES NO REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, ON REGARDS TO THE USE, LEGAL ACCURACY, COMPLETENESS, VALIDITY, STATE STATUTE OR ENFORCEABILITY OF SUCH DOCUMENT FORMS AND TEMPLATES.

About Third-Party Services

Certain third-parties may obtain allowance to offer diverse products or services in Aztec Project LLC’s Web Site. Be informed and acknowledge, that we do not have control, nor operate their products or services and only the Merchants are responsible for corresponding buying or hiring processes. Merchants are also responsible for order fulfillment, billing, and customer services.

Aztec Project LLC is acting in performance of this Agreement as an independent contractor.

 

About Payments

Aztec Project will make its best effort to offer you diverse on-line payment methods to facilitate the paying process of your Order Forms.

You represent and warrant that the payment information that you provide to Us is valid, legal, truthful, and complete, that you have the authorization to use it, and that your credit card company, bank, or any other entity that you are using, will honor your payment commitment.

You represent and warrant that once you have submitted the payment, you will not instruct the credit card company, bank, or other credit entity to cancel such charge (a “chargeback”), or You will not make any action to close your account. Please be aware that you will find in this Terms a process that you could use, if the case may be, to refund a payment under certain conditions.

A $35 fee will be added to all checks returned to Us due to non-sufficient funds or closed accounts plus any and all other collections fees or cost incurred by Us. In addition, a bank service fee will be charged on these checks. All chargeback attempts on a credit card you have utilized for our services will be sent to collections with a $50 fee and We reserve the right to suspend your account and any access to your account. If you improperly request a chargeback in violation of these Terms, as determined by Aztec Project LLC in its sole discretion, We will consider the order fraudulent and take action to rescind or dissolve any entity that We have formed for you and cancel any related services, as well as adding any required state fees to the collections account.

You represent and warrant that you will pay for the services at posted prices including any applicable taxes.

We reserve the right, in our sole and absolute discretion, to require from you, at any time, a current and valid form of state issued identification to verify your identity, and/or a proof of domicile to verify your address, towards preventing fraudulent activities and to foment secure transactions.

You accept that We have the right to charge interest on all overdue and unpaid accounts. In addition, you hereby indemnify Us from all cost, expenses, damages, and fees, including but not limited to attorneys’ fees, arising out of your failure to pay or due to inaccuracy, incompleteness, or truthfulness of the payment information that you provided.

All prices posted are in United States Dollars (USD) and must be pay in such currency.

Those products or services that due to its nature, time constraint or specific purpose must be billed on a recurring basis (the “Renewals”) will be automatically billed when due, unless the service was cancelled before due date. We will notify you at least once, not less than 10 days prior to due date of the Renewal, by e-mail to the email address we have on file, before charging your Renewal payment. Unless you provide otherwise, you agree and consent that Aztec Project LLC make corresponding charge for these Renewals.

You are responsible for making Renewals payments on or before the Renewal due date. We will make every reasonable effort to process payments orders, but we are not perfect and sometimes things are out of our control. Aztec Project LLC holds no liability due to the failure to renew any Order Form on or before its due date.

The person setting an account, and/or filing the Order Form and/or placing the order whether through this Web Site, by e-mail, phone, or any other way to exchange information, is the responsible party for billing and payment.

Any change required to the account ownership and billing and payment responsibility must be in writing, and must clearly express intent. If the account change is transferring control and payment responsibility for the account, the transferring consent document must be signed and notarized by the person assuming control and payment responsibility.

 

About Cancelation of Services

One of Our main objectives is to achieve the highest level of satisfaction of our users and customers. While we would like to be close to perfection, there could be some situations where we may fail to fulfil your expectations.

Refund Requests. All refund requests must be in writing, expressing your desire to cancel the service and requesting the refund. You must identify yourself as the person requesting the service and you must identify the specific service to be canceled and provide a contact e-mail and phone number to reach you.

If a refund request is granted, we will refund to you the amounts you have paid less the amounts determined according to the following:

1.    If you cancel your order within 24 hours of the Order Form being submitted with acceptable payment, and if no process has been made on our side, we would refund the amount that you have paid less any service or processing charges by the bank or the service provider of the method of payment that you used to pay for the service requested through the Order Form. This refund could take 2-4 weeks to process depending on bank processing times.

2.    If you cancel your order within 24 hours of the Order Form being submitted with acceptable payment, and some process has been made on our side, but the filling were not actually made or dispatched to the State agency for processing and no fee has been paid to the State or any third party, we would refund the amount that you have paid less $30 dollars processing fee plus any service or processing charges by the bank or the service provider of the method of payment that you used to pay the service requested through the Order Form.

3.    If you cancel your Order more than 24 hours after the Order Form was submitted with acceptable payment, and some process has been made on our side, but the filling were not actually made or dispatched to the State or relevant office and no fee has been paid to the State or any third party, we would refund the amount that you have paid less $50 dollars processing fee plus any service or processing charges by the bank or the service provider of the method of payment that you used to pay the service requested through the Order Form.

NOTE THAT WE WONT BE ABLE TO CANCEL YOUR ORDER ONCE THE FILING HAS BEEN PRESENTED TO THE STATE AGENY FOR PROCESSING. NO REFUND WILL BE POSSIBLE AT THIS STAGE.

 

About the Intellectual Property Rights

The content, organization, graphics, design, compilation, and other matters related to the Web Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. AZTC PROJECT LLC owns all right, title and interest, in and to all Intellectual Property Rights in the Services and Web Site. Nothing in these Terms grant you any rights to our Intellectual Property. About the White Label Program

Our White Label Program has been designed for professional advisors such as Law Firms, Accounting Firms, Tax advising firms, Financial Advising Firms, among others, that act as agents for their customers who requires one or more of the services provided by Aztec Project LLC (the Professional User).

The White Label Program allows the registered Professional User to obtain discounts on our processing fees depending on volume and other situations agreed upon Aztec Project LLC and the corresponding registered Professional User .

Aztec Project LLC will make its best efforts to exclude any Aztec Project LLC branding, where possible, and will use the registered Professional User as the single point of contact to fulfil services in the Orden Forms submitted by the registered Professional User on behalf of its customers.

We will not contact the registered Professional User’s customers without the registered Professional User’s consent and only for a specific purpose in those cases where it would be strictly necessary.

The registered Professional User will be responsible for complying with all Terms of this Web Site including all and any information provided on behalf of its customers.

When making the above-described reports, we may be disclosing the information necessary or appropriate to such persons, including your contact information and any other information to identify you or your company.

Aztec Project will cooperate with any government agency on any request of information of you or your company, when required by law.

 

INDEMNIFICATION

You agree to indemnify, defend and hold us, as well as our employees, partners, agents, directors, officers and/or owners, harmless from any liability, loss, claim and/or expense, including reasonable attorneys’ fees, related to your violation of the Terms or use of the Web Site.

About the Governing Law and Jurisdiction
These Terms herein have been constructed and thereof must be interpreted in accordance with the Laws of the State of Texas, regardless of any foreign Laws whether in the U.S. or International.

You agree to forever waive and barred any cause of action that you may have if such cause would not be instituted within one year after it has aroused.

The failure of Aztec Project LLC to enforce any provision of these Terms shall not be construed to be a waiver of that provision, nor in any way to affect the validity of these Terms or any of its parts or the right of any Party to subsequently enforce each and every provision. No waiver of any breach of this Aztec Project LLC shall constitute a waiver of any other or subsequent breach.

About Miscellaneous Provisions Interpretation
Articles, titles, and headings in these Terms are inserted for convenience of reference only and are not intended to be part of or affect the meaning or interpretation of these Terms.

The provisions of these Terms shall be construed and interpreted against each Party in the same manner, and no provision shall be construed or interpreted more strictly against one Party on the assumption that an instrument is to be construed more strictly against the Party that drafted these Terms.

 

Partial Invalidity

Whenever possible, each provision of these Terms will be construed in a manner as to be effective and valid under applicable Law, but in case any such provision is, for any reason, held to be invalid, illegal, or unenforceable in any respect, that provision only will be ineffective to the extent of that invalidity, illegality, or unenforceability without affecting the remainder of that provision or any other provisions in these Terms.

 

Arbitration

Any legal controversy or legal claim arising out of or relating to these Terms, excluding any legal action taken by Aztec Project LLC to collect or recover damages for, or obtain any injunction relating to, Web Site operations, Intellectual Property and our services shall be settled solely by binding arbitration in accordance with the commercial arbitration rules of JAMS. If the amount of the claims and counterclaims are less than Two Hundred and Fifty Thousand Dollars ($250,000.00), then the JAMS Streamlined Arbitration Rules and Procedures will be used.

Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party, and that you will not bring a claim as a plaintiff or class member in a class, consolidated, or representative action. You further agree that class arbitrations, class actions and consolidation with other arbitrations will not be allowed. All disputes and claims between us will be heard by a single arbitrator.

The arbitration shall be conducted in Dallas County, Texas, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Aztec Project LLC may seek any interim or preliminary relief from a court of competent jurisdiction in Dallas County, Texas necessary to protect the rights or property of you and Aztec Project LLC pending the completion of arbitration. This court relief may not be a substitution for arbitration.  Each party shall bear one-half of the arbitration fees and costs incurred through JAMS.

 

Entire Agreement

These Terms contain the entire agreement and understanding between You and Aztec Project LLC, with respect to the subject matter hereof and supersede all prior written or oral agreements and understandings between the Parties.
